BFB Health Limited announced on 28 September 2026 that it has completed the sale of its entire stake in wholly owned subsidiary Golden Gate China Limited to an independent third-party purchaser for cash consideration of HK$10,000. The share transfer was executed and completed on the same day under an arm’s-length agreement.
The disposal removes a lossmaking unit from the group’s consolidated accounts. Golden Gate China, an investment company engaged in advertising and e-commerce operations in mainland China, generated revenue of HK$3.16 million in 2025 versus HK$11.55 million in 2024, and booked operating losses of HK$2.28 million and HK$6.86 million, respectively. As at 30 June 2026, the disposal group carried unaudited net liabilities (excluding intercompany loans) of about HK$33.30 million.
Given the negative net asset position of the subsidiary, BFB Health expects to record an estimated gain of roughly HK$33.30 million—calculated as the elimination of the net liabilities less the nominal sale price—subject to final audit. Post-transaction, the subsidiary will cease to be consolidated into group financial statements, and the proceeds will be used for general working capital.
Under Hong Kong Listing Rules, the deal’s size—falling between 5% and 25% of the relevant percentage ratios—classifies the transaction as “disclosable,” requiring public announcement but not shareholder approval.
Management cited the subsidiary’s weak performance and the need to strengthen group liquidity as key reasons for the divestiture, noting that resources will now be redirected to more attractive opportunities in BFB Health’s core advertising, e-commerce and money-lending businesses in Hong Kong and the PRC.
