Zhihu Inc. (ZHIHU) has filed a Next Day Disclosure Return with the Hong Kong Stock Exchange detailing recent share repurchase activities and the latest capital structure.

The company’s issued share capital remained unchanged at 244.79 million Class A ordinary shares (259.65 million total including 14.86 million Class B shares) as of 4 August 2026. No treasury shares were outstanding.

Buyback on 4 August 2026 • Repurchased 105,000 Class A shares (equivalent to 35,000 ADSs) on the New York Stock Exchange. • Volume-weighted average price: USD 1.1167 per share (range: USD 1.11–1.12). • Aggregate consideration: USD 0.12 million. • Shares are designated for cancellation.

Cumulative July–August Repurchases Pending Cancellation • Period: 1 July–4 August 2026. • Total shares: 2,817,204. • Purchase price range: USD 1.0416–1.1116 per share. • Represents 1.11 % of the 254.62 million shares outstanding when the mandate was approved on 30 June 2026.

Repurchase Mandate Utilisation • Authorised under 30 June 2026 resolution: 25.46 million shares. • Utilised to date: 2.82 million shares. • Remaining capacity: 22.64 million shares. • Moratorium: Zhihu may not issue new shares or dispose of treasury shares until 3 September 2026.

The company confirmed all repurchases comply with Hong Kong Listing Rules and applicable U.S. regulations. No changes were made to the explanatory statement filed on 8 June 2026.
