Mobvista Inc. (MOBVISTA) has announced a three-pronged corporate update covering governance enhancements, an expanded equity-incentive framework and a fresh share grant.
Proposed amendments to Articles of Association • Replacement of the current charter with a third amended and restated version to align with Hong Kong’s Securities and Futures (Uncertificated Securities Market) Rules (Cap. 571AS). • Updates span shareholding, registration, transfer mechanics, and board powers, designed to enable participation in the uncertificated securities regime and strengthen corporate governance.
Revamp of Senior Management RSU Scheme • The Senior Management Restricted Share Unit Scheme—originally adopted in November 2018 with a 10-year life—will be renamed the “2026 Existing Shares Restricted Share Unit Scheme.” • Proposed changes: – Extension of the scheme for 10 years from the date of shareholder approval (up to 2036 unless terminated earlier). – Expansion of eligible participants to all employees, directors (including independent non-executive directors), senior management and other contributors designated by the scheme administrator. – Continued funding solely via existing shares; no new share issuance is planned. • Capacity status: 58.20 million shares are authorised; 36.29 million granted, 29.36 million vested, 6.25 million lapsed. Approximately 28.16 million units remain available for future grants.
Grant of 1.04 million Award Shares under RSU Scheme (Hybrid) • On 26 Oct 2026, Mobvista granted 1.04 million award shares at nil cost to 14 grantees under its Hybrid RSU Scheme. • Allocation: 18,000 shares to Executive Director and Board Secretary Jiang Ruofan; 1.02 million shares to 13 other employees. • Vesting: Either 100 % on 30 Oct 2027 or 50 % in both 2027 and 2028, contingent on financial, operational and strategic performance targets. • Claw-back provisions trigger on misconduct, financial restatements or material miscalculations. • Post-grant, 74.01 million shares remain available under the Hybrid scheme’s 162.16 million-share mandate.
Next steps An extraordinary general meeting will be convened for shareholders to vote on the revised Articles of Association (special resolution) and the updated RSU Scheme (ordinary resolution). The company will distribute a detailed circular and meeting notice in due course.
