Zhongji Innolight Set to Acquire Major Stake in Jones Tech, Sending Shares Surging

The stock market saw a significant move on August 13, with shares of Jones Tech Plc (300684) surging more than 13% in the afternoon session before closing at 56.13 yuan, up 8.23%, which gave the company a market value of 16.81 billion yuan. The rally was triggered by news that the company's controlling shareholder plans to sell a substantial stake to Zhongji Innolight Co., Ltd. (300308).

According to an announcement released on the evening of August 13, the controlling shareholder of Jones Tech, along with its concert parties, have signed a share transfer agreement with Zhongji Innolight. The deal involves the transfer of a 10.47% stake in Jones Tech at a price of 55.70 yuan per share, totaling 1.747 billion yuan. Before the transfer, the controlling shareholders—Wu Xiaoning, Ye Lu, and Han Wu—held a combined 41.90% of Jones Tech shares, with Zhongji Innolight holding none. After the transaction, the controlling shareholders' stake will drop to 31.42%, while Zhongji Innolight will become a significant shareholder with a 10.47% stake, making it the third-largest shareholder in Jones Tech. As of the close of trading on August 13, Zhongji Innolight's A shares were priced at 921.04 yuan, giving it a market capitalization of 1.08 trillion yuan.

Zhongji Innolight stated that its decision to invest in Jones Tech is based on a strong recognition of the company's long-term investment value. The rationale behind the move is tied to growing synergies between the two firms. As Zhongji Innolight continues to ramp up production of its high-end optical modules, such as the 800G and 1.6T models, the increasing power density of these products drives a greater need for effective heat dissipation solutions. This is where Jones Tech's expertise comes into play.

Zhongji Innolight is primarily focused on the research, development, and sale of high-end optical communication transceiver modules, while Jones Tech specializes in high-performance thermal management materials and EMI shielding materials. Jones Tech's products are widely used in various digital infrastructure sectors, including 5G communications, next-generation communication technologies, data centers, and computing power centers. Recently, in a briefing with institutional investors, Jones Tech highlighted its new vapor chamber (VC) heat dissipation module solutions for the optical communication industry. These products offer significantly improved thermal performance and value, and have already passed the certification of key domestic and international clients. The company has achieved mass production and delivery, with a growing customer base and expanding delivery volumes. Jones Tech boasts core technologies in VC materials, including high-performance wick materials, ultra-thin VC, 3D VC, and integrated VC modules, as well as full-process capabilities from material R&D to mass production.
