China Mobile Limited will convene its 2026 Annual General Meeting on 21 May 2026 at 10:00 a.m. in the Grand Ballroom of the Grand Hyatt Hong Kong. According to the proxy form released, shareholders are scheduled to vote on ten ordinary resolutions that collectively cover financial reporting, capital allocation, board composition and authorisations for capital management.
Key resolutions under consideration:
1. 2025 Financial Statements • Adoption of the audited consolidated financial statements, Directors’ Report and Auditors’ Report for the year ended 31 December 2025.
2. Profit Distribution • Declaration of a final dividend for FY 2025 (amount to be determined by the meeting). • Authorisation for the Board to decide interim profit distributions for FY 2026.
3. Board Composition • Re-election of Executive Director Mr. CHEN Zhongyue. • Re-election of Independent Non-Executive Directors Mr. LEE Ka Sze Carmelo and Mrs. LEUNG KO May Yee Margaret.
4. Audit Arrangements • Re-appointment of KPMG and KPMG Huazhen LLP as auditors, with the Board authorised to set their remuneration.
5. Capital Management Mandates • Share buy-back mandate allowing the Board to repurchase Hong Kong-listed shares up to 10% of the issued share capital (excluding treasury shares). • General issuance mandate permitting the Board to allot, issue or transfer additional shares—including treasury shares—up to 20% of the existing issued share capital (excluding treasury shares). • Extension of the issuance mandate by the number of shares bought back under the above buy-back authority.
6. External Guarantees • Approval of the Company’s external guarantees plan for 2026.
Shareholders intending to vote by proxy must submit the completed form and any accompanying authorisations to the Company’s registered office (60/F, The Center, 99 Queen’s Road Central, Hong Kong) no later than 24 hours before the meeting. Attendance in person remains an option without invalidating any submitted proxies.
