MOG Digitech Holdings Limited will hold its Annual General Meeting (AGM) on 26 June 2026 at 11:00 a.m. (Room 2, 14/F, Fairmont House, Central, Hong Kong).
Key resolutions to be put to shareholders include:
1. FY-2025 Results • Consideration of the audited consolidated financial statements and accompanying directors’ and independent auditor’s reports for the year ended 31 December 2025.
2. Board Composition • Re-election of Executive Director Mr. Zhou Yue. • Re-election of Independent Non-Executive Directors Mr. Yau Tung Shing and Mr. Gao Hongxiang. • Authorisation for the Board to determine directors’ remuneration.
3. Auditor Appointment • Proposed appointment of Suya WWC CPA Limited as external auditor until the next AGM, with the Board authorised to set the audit fee.
4. Share Capital Mandates • General mandate allowing the Board to allot and issue new shares up to 20% of the issued share capital (excluding any treasury shares) during the mandate period. • Share buy-back mandate authorising repurchases of up to 10% of issued shares. • Extension of the issue mandate by an amount equal to shares repurchased under the buy-back mandate, capped at an additional 10%.
5. Key Dates • Register of members closure: 23–26 June 2026 (both days inclusive). • Record date for AGM eligibility: 26 June 2026. • Proxy forms must be lodged with Computershare Hong Kong Investor Services Limited at least 48 hours before the meeting.
Board composition at the notice date comprises four Executive Directors—Mr. Deng Zhihua (Chairman and Co-CEO), Mr. Chen Yongzhong (Co-CEO), Mr. Mo Mingdong and Mr. Zhou Yue—and three Independent Non-Executive Directors—Mr. Yau Tung Shing, Ms. Chen Wen and Mr. Gao Hongxiang.
