Computime Group Limited disclosed a series of senior‐leadership changes effective 1 April 2026.
Paulina Au (aged 56), currently Chief Financial Officer and Company Secretary, will become Executive Director and join the executive committee for a three-year term to 31 March 2029. Her remuneration is set at HK$2.93 million per annum plus discretionary bonus, and she holds 1.20 million share awards, representing approximately 0.14% of issued share capital.
Technology veteran Gioia Messinger (aged 64) has been appointed Independent Non-Executive Director and Audit Committee member for the same three-year term. Messinger will receive an annual director’s fee of US$0.11 million. She meets the independence requirements under Hong Kong Listing Rules.
In conjunction with Au’s board promotion, she will step down as Company Secretary, Authorised Representative and Process Agent. These roles will be assumed by Samuel Wong (aged 45), who re-joins the Group as Group General Counsel. Wong brings more than 20 years of multidisciplinary legal, governance and compliance experience and holds dual Chartered Secretary and Chartered Governance Professional designations.
The Board recorded its welcome to the incoming directors and senior officer and noted that no other matters require shareholder attention regarding these appointments.
