Eastroc Sets 29 April 2026 AGM to Vote on 2025 Performance Reports, Profit Distribution and A-Share Buy-back Mandate

Eastroc Beverage (Group) Co., Ltd. will convene its Annual General Meeting (AGM) on 29 April 2026 at 14:30 (Hong Kong time) in Shenzhen to review 2025 operating results and decide on a series of governance and capital-management proposals.

Key ordinary resolutions: • 2025 work reports of the Board and of the independent directors. • Re-appointment of the external auditor for 2026. • Confirmation of directors’ remuneration for 2025 and the proposed remuneration framework for 2026.

Special resolution: • Approval of the 2025 final profit-distribution plan.

Additional ordinary resolutions: • Approval of the 2026 guarantee cap for wholly-owned subsidiaries. • Authorisation to negotiate bank credit facilities for 2026. • Permission to deploy idle funds in cash-management products during 2026.

Further special resolutions: • Changes to registered capital and corresponding amendments to the Articles of Association. • Granting the Board a general mandate to repurchase A shares via centralised bidding, detailing purpose, scope, price limits, funding sources, share cancellation or transfer procedures, creditor-protection measures and implementation authority.

Share-registration timetable: • For AGM attendance and voting: H-share register closes 24–29 April 2026; record date 29 April 2026. Transfer documents must reach Computershare Hong Kong by 16:30 on 23 April 2026. • For entitlement to the 2025 final dividend and capitalisation shares: register closes 7–14 May 2026; record date 14 May 2026. Transfers must be lodged by 16:30 on 6 May 2026.

Proxies for H-shareholders must be filed with Computershare Hong Kong at least 24 hours before the meeting. The AGM will be conducted in Mandarin, is expected to last half a day, and no gifts or travel subsidies will be provided to attendees.
