GUOTAI JUNAN I Receives Take-Private Offer from GTHT at a 44.2% Premium; Trading Resumes August 10

GUOTAI JUNAN I (01788) and its offeror, GTHT Financial Holdings Limited, have jointly announced that on July 22, 2026, the offeror requested the board (subject to the satisfaction of pre-conditions) to propose a scheme to the scheme shareholders. If approved and implemented, the proposal will result in the company being privatized through a scheme of arrangement under Section 673 of the Companies Ordinance, and the shares will be delisted from the Hong Kong Stock Exchange.

The cancellation price for each scheme share is set at HK$3.00 (minus any dividend adjustment), representing a premium of approximately 44.2% over the last closing price of HK$2.08 per share on the Hong Kong Stock Exchange. The company has applied to the Hong Kong Stock Exchange for the resumption of trading of its shares from 9:00 a.m. on August 10, 2026.

As of the date of this joint announcement, (1) approximately 95.3 billion shares are issued, of which about 3.285 billion shares (including 800 million borrowed shares) will constitute scheme shares, representing approximately 34.47% of the company's issued share capital; and (2) there are 4.85 million outstanding share options. Based on the cancellation price of HK$3.00 per scheme share and assuming full acceptance of the share option offer, implementing the proposal would require approximately HK$9.861 billion in cash.

The offeror, GTHT, and parties acting in concert with the offeror hold approximately 6.3136 billion shares, representing about 66.25% of the company's issued share capital. It is noted that the offeror is a wholly-owned subsidiary of GTHT (02611), whose main businesses include wealth management, investment banking, institutional and trading, investment management, and financial leasing. GTHT does not have any controlling shareholder.
