Keep Inc. repurchases 0.10 million shares; outstanding treasury stock rises to 11.49 million

Keep Inc. (HKEX: 03650) filed a Next Day Disclosure Return on 15 July 2026 reporting the on-market repurchase of 100,000 ordinary shares on the same day.

The shares were bought back at prices ranging from HKD 1.80 to HKD 1.88, with a volume-weighted average cost of HKD 1.84 per share and a total outlay of HKD 0.18 million. The transaction represents 0.020 % of the company’s issued share capital (excluding treasury shares) prior to the buy-back. All 100,000 shares have been retained as treasury stock.

After the transaction, Keep Inc.’s capital structure is as follows: • Issued shares (excluding treasury shares): 498.79 million • Treasury shares: 11.49 million • Total issued shares (including treasury): 510.28 million

Progress under the current share-repurchase mandate (approved on 4 June 2026) now stands at 3.63 million shares, equivalent to 0.72 % of the company’s issued shares on the mandate date. The mandate permits buy-backs of up to 50.24 million shares, leaving 46.61 million shares available for further repurchase.

Separately, 3.52 million shares bought between 6 January and 15 April 2026 remain pending cancellation.

Pursuant to Hong Kong listing rules, the company is subject to a moratorium on issuing new shares or disposing of treasury shares until 14 August 2026. The board confirms that all repurchases have been conducted in accordance with the applicable regulations.
