Shanghai Forest Cabin Cosmetics Group Co., Ltd. (“Forest Cabin”) reported that its annual general meeting on 8 May 2026 approved every item on the agenda, setting the stage for a refreshed board structure and a cash distribution to shareholders.
Shareholder turnout and voting • Shareholders holding 102.01 million shares—71.96 % of the company’s 141.76 million issued shares—voted in person or by proxy. • Each of the eight ordinary resolutions secured at least 99.73 % support, while all five special resolutions received 100 % or near-100 % backing, comfortably above the two-thirds threshold.
Key approvals 1. Financial statements, directors’ report, annual report and profit distribution plan for FY 2025 were endorsed. 2. Re-appointment of the external auditor for 2026 and authorisation for the board to set its fee were confirmed. 3. The 2026 financial budget passed with 99.73 % support. 4. General mandates to repurchase shares and to issue, sell and/or transfer treasury shares were granted. 5. Amendments to the Articles of Association and the rules of procedure for shareholder and board meetings became effective immediately.
Dividend details • A final dividend of RMB0.95 per share for FY 2025 will be paid on or before 8 July 2026 to shareholders on record as of 19 May 2026. • Domestic shareholders will receive the dividend in RMB. H-share investors will receive HK$1.08553 per share, based on the PBoC exchange rate of RMB0.87515 to HK$1.
Board changes • Mr. Sun Fuchun has been appointed executive director, replacing Ms. Jing Aimei, who also steps down from the audit committee. • Ms. Qiang Yilan joins the audit committee, which is now chaired by Mr. Zhu Qian and includes Mr. Liu Yuliang. • Employees elected Mr. Wang Shijia, the company’s chief operating officer, as employee-representative director. Mr. Wang receives an annual salary of RMB0.84 million in his management role but no separate director’s fee.
