Jiangsu Expressway (00177, 600377) to Vote on Supervisory Committee Abolition and Articles Amendments

Jiangsu Expressway Company Limited has announced that its first extraordinary general meeting for 2025 will be held on 18 December 2025 at 3:00 p.m. in Nanjing, Jiangsu Province. The meeting will focus on abolishing the supervisory committee and transferring its functions to the audit committee, alongside comprehensive amendments to the company’s governance documents.

Several key items will be proposed for approval: abolishing the supervisory committee in line with updated corporate governance requirements, revising the articles of association, and updating the rules of procedure for general meetings and board meetings. In addition, changes to the working rules for independent directors will be considered, including an expanded role for employee representatives on the board. These revisions are designed to comply with relevant laws, enhance corporate control mechanisms, and ensure clear structures of authority.

The proposals include special resolutions on the updated articles of association and the procedural rules for both general and board meetings, as well as an ordinary resolution on new provisions for independent directors. Holders of Jiangsu Expressway’s A shares (600377.SH) and H shares (00177.HK) who appear on the respective registries by 10 December 2025 will be entitled to vote in person or by proxy. The company has also provided guidelines for online voting via the Shanghai Stock Exchange Online Voting System for qualifying holders of A shares.

Jiangsu Expressway highlights that adoption of these changes requires at least two-thirds approval for the special resolutions and a simple majority for the ordinary resolution, emphasizing the importance of full shareholder participation. Upon approval, the company expects these amendments to strengthen compliance with updated legal requirements and further align its governance approach with broader industry practices.
