Bingo Group boosts share capital by 1.03 million shares through option exercise; public float remains compliant

On 3 July 2026, Bingo Group Holdings Limited filed its Monthly Return for the period ended 30 June 2026, detailing modest equity changes driven entirely by employee share-option exercises.

Authorised vs. issued capital • Authorised share capital stayed flat at 2.00 billion ordinary shares with a par value of HKD 0.10 each, equivalent to HKD 200.00 million. • Issued shares (excluding treasury stock) rose 1.03 million shares, moving from 177.96 million to 178.98 million. No treasury shares were held at month-end.

Primary source of new shares • All additional shares were allotted under the 2024 Share Option Scheme. • A total of 1.03 million options were exercised, generating HKD 1.20 million in proceeds for the company. • Post-exercise, 3.39 million options remain outstanding under the 2024 Scheme, while 307,942 shares are still available for future grants. • The legacy 2012 Share Option Scheme continues to carry 1.71 million unexercised options; no exercises were recorded under this plan in June.

Public float and compliance • Following the new issuance, Bingo Group confirmed that at least 25 % of its issued shares are held by the public, meeting Hong Kong Listing Rule requirements. • No movements were reported in warrants, convertible securities, treasury shares, or other share-issuing arrangements during the month.

With these transactions, Bingo Group’s issued share base now totals 178.98 million ordinary shares, while authorised capacity remains unchanged, providing ample headroom for future equity activities.
