Shanghai INT Medical Instruments Co., Ltd. (INT Medical) has issued a circular convening its first Extraordinary General Meeting of 2026 for 24 September 2026 in Shanghai. Five resolutions are on the agenda.
1. Board Reinforcement • Shareholders will vote on appointing two new Independent Non-Executive Directors (INEDs): – Dr Zhang Peng, chief physician at Xuanwu Hospital Capital Medical University, proposed to chair the Nomination Committee and join the Strategy & Sustainability Committee. – Dr Lai Wan Lung, Managing Director of the Master’s Programme in International Banking & Finance at Lingnan University, nominated to chair the Remuneration Committee and sit on both the Audit Committee and the Strategy & Sustainability Committee. Both candidates have confirmed independence per Hong Kong Listing Rule 3.13 and would serve until the end of the current (fourth) board term. Proposed annual remuneration for each is RMB 0.12 million.
2. Enlargement of Chairman’s Share-Award Cap The company seeks shareholder approval to raise Chairman and Executive Director Dr Liang Dongke’s individual limit under the 2022 H-Share Award & Trust Scheme. • Current cap: up to 1 % of issued H shares (≈ 2.11 million shares). • Proposed cap: up to 50 % of the scheme limit, equivalent to 5.21 million H shares (≈ 2.47 % of total issued shares). The new ceiling includes 33,400 award shares already granted to Dr Liang on 28 June 2026. No further grants are currently arranged. Dr Liang (10.39 % voting stake) and his associate Dr Song Yuan will abstain from voting on this item. The scheme trustee, holding 4.36 million H shares (41.81 % of the scheme limit), will also abstain.
3. Governance Framework Updates Special resolutions propose: • Amendments to the Articles of Association, notably: – Aligning share-transfer record dates with regulatory requirements. – Formally adding an employee representative director role. – Establishing a Strategy & Sustainability Committee with defined ESG and long-term strategy responsibilities. • Corresponding changes to the Board’s Rules of Procedures to recognise the new committee alongside the existing Audit, Remuneration and Nomination Committees.
Key Administrative Details • The register of members will be closed 25 Aug–24 Sept 2026 (both days inclusive); 24 Sept 2026 is the record date for voting entitlement. • Shareholders unable to attend may submit proxies to Computershare Hong Kong by 2 pm, 23 Sept 2026.
INT Medical states that the proposed measures align board expertise with strategic and sustainability priorities and ensure sufficient headroom for future equity-based incentives.
