Risecomm Postpones Circular Dispatch to On or Before 25 August 2026

Risecomm Group Holdings Limited announced a further delay in sending its shareholder circular related to the proposed Loan Capitalisation Agreements and Placing Agreement.

The document—originally scheduled for dispatch on or before 4 August 2026—will now be issued no later than 25 August 2026. Management cited the need for additional time to finalise information required under Hong Kong Listing Rules, including details of the connected transactions, recommendations from the Independent Board Committee, and the Independent Financial Adviser’s opinion.

The circular will also contain the notice convening the extraordinary general meeting where shareholders will vote on the proposed transactions.

Executive Director Ye Bailing signed the announcement dated 4 August 2026. The board currently consists of two executive directors, two non-executive directors and three independent non-executive directors.
