CDB Leasing Announces First 2026 ESM; Shareholders to Vote on Appointment of Mr. Bao Quanyong as Executive Director

China Development Bank Financial Leasing Co., Ltd. (CDB Leasing) will hold its first extraordinary shareholders’ meeting (ESM) of 2026 on 18 May 2026 at 10:00 a.m. in Shenzhen. The sole agenda item is an ordinary resolution to elect Mr. Bao Quanyong as an executive director.

The register of members will be closed from 13 May 2026 to 18 May 2026, inclusive. Shareholders recorded on 18 May 2026 are eligible to attend and vote. Transfers must be lodged by 4:30 p.m. on 12 May 2026 with Computershare Hong Kong Investor Services Limited for H-shareholders or with the company’s registered office for domestic shareholders.

Eligible shareholders may appoint one or more proxies. Completed proxy forms, together with any required authorisation documents, must be submitted no later than 10:00 a.m. on 17 May 2026.

Voting at the ESM will be conducted by poll in accordance with Hong Kong Listing Rule 13.39(4). The meeting is expected to last approximately half a day, and attendees are responsible for their own travel and accommodation costs.

Board composition as of the notice date (24 April 2026) comprises one executive director (Ms. Ma Hong), two non-executive directors (Mr. Zhang Kesheng and Mr. Zhang Chuanhong), and three independent non-executive directors (Mr. Liu Ming, Mr. Wang Guiguo and Ms. Liu Siqin).
