ZT HN Group to Modernise Governance Rules, Seeks Shareholder Nod for Electronic Meeting Amendments

ZT HN Group (Zhongtian Construction (Hunan) Group Limited) has announced plans to overhaul its Articles of Association to align with the latest Hong Kong Listing Rules, effective 1 July 2025.

Key features of the proposed revisions include: • Introduction of electronic and hybrid general meetings, allowing shareholders to vote via online platforms. • Formal recognition of electronic voting rights for all shareholders. • Removal of the obligation to issue separate availability notices when corporate documents are posted on the company’s or the Stock Exchange’s websites. • Updated procedures for electronic dissemination of documents and acceptance of electronic instructions. • Miscellaneous consequential and housekeeping amendments to ensure full regulatory compliance.

The amendments will be put to shareholders as a special resolution at the Annual General Meeting scheduled for 26 June 2026. If approved, the new Articles will take effect immediately. A detailed circular, including the revised Articles and the AGM notice, will be dispatched to shareholders in due course.

The current Board comprises Chairman and Executive Director Yang Zhongjie, Executive Directors Liu Xiaohong, Chen Weiwu and Min Shixiong, along with Independent Non-Executive Directors Dr. Liu Jianlong, Deng Jianhua and Lau Kwok Fai Patrick.
