Minieye Technology Announces 12 June 2026 AGM; Seeks Approval for 2025 Results, Board Reshuffle, Governance Overhaul and 20% Share Issue Mandate

Minieye Technology Co., Ltd. has issued a notice convening its Annual General Meeting (AGM) for 10:00 a.m. on 12 June 2026 at the company’s Shenzhen headquarters. Key resolutions to be tabled are outlined below.

Financial Reporting and Profit Allocation • Shareholders will vote on the 2025 Directors’ Report, Supervisory Committee Report, consolidated financial statements, the full 2025 Annual Report and the final settlement of accounts. • A 2025 profit-distribution plan is on the agenda, details of which will be disclosed during the meeting.

Board Composition and Remuneration • Re-election of three executive directors — Dr. Liu Guoqing, Mr. Zhou Xiang and Mr. Wang Qicheng — and one non-executive director, Ms. Liu Yiran. • Election of Mr. Zhang Jianping as a new non-executive director. • Re-election of two independent non-executive directors — Mr. Tan Kaiguo and Dr. Tan Mingkui — and election of Ms. Su Jia Alice as a new independent non-executive director. • Shareholder confirmation of 2025 director remuneration and the remuneration plan for 2026.

Governance Framework • Proposed abolition of the Supervisory Committee, repeal of its working rules and corresponding amendments to the Articles of Association. • Amendments to the corporate governance policy, connected-transaction management system, external-guarantee management system and the working system for independent non-executive directors. • Updates to the working rules for the general meeting and the Board.

Capital Management • General mandate authorising the Board to issue, allot or otherwise deal with new shares representing up to 20% of the total issued share capital as at the approval date. • General mandate to repurchase H-shares of up to 10% of the total H-share count. • Authorisation for foreign-exchange derivative transactions and the purchase of wealth-management products.

Risk-Control and Credit Facilities • Application for integrated credit facilities with banks, together with related guarantees. • Approval for the provision of guarantees to third-party customers.

Auditor • Re-appointment of the incumbent auditor will be put to a vote.

Shareholder Logistics The H-share register will be closed from 9 June 2026 to 12 June 2026 (both dates inclusive). Share transfer documents must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 8 June 2026 to qualify for AGM attendance and voting rights.
