INT MEDICAL Announces Resignation of Non-Executive Director and Prepares for A-Share Listing Compliance

INT MEDICAL (01501) has issued an announcement stating that Mr. Wang Ruiqin has tendered his resignation as a non-executive director of the company due to adjustments in his personal work arrangements, effective from August 24, 2026, the date on which the company received the resignation notice.

Mr. Jian Xigao and Mr. Xu Hongqun have served as independent non-executive directors of the company since December 8, 2018, and their consecutive tenure has now exceeded seven years. The company is currently in the process of preparing for its initial public offering of Renminbi-denominated ordinary shares (A shares) and subsequent listing. According to the regulations of the "Measures for the Management of Independent Directors of Listed Companies" and other relevant A-share laws and regulations, the consecutive tenure of independent non-executive directors must not exceed six years.

Given that the consecutive tenure of Mr. Jian Xigao and Mr. Xu Hongqun has surpassed the aforementioned limit stipulated by A-share regulatory requirements, and in order to comply with the compliance requirements for A-share listing, coupled with adjustments to their personal work arrangements, both Mr. Jian Xigao and Mr. Xu Hongqun have applied to resign from their positions as independent non-executive directors and their related roles on the board's special committees. Their resignations will take effect upon the formal appointment of new independent non-executive directors.

After considering the recommendations of the Nomination Committee, the board has resolved to propose the appointment of Dr. Zhang Peng and Dr. Li Yunlong as candidates for independent non-executive directors of the fourth board of directors. The proposed appointment of independent non-executive directors is subject to approval by shareholders through an ordinary resolution at an extraordinary general meeting and will take effect upon such approval.

In accordance with the company's articles of association, the company convened the 11th meeting of the second workers' congress on August 24, 2026, and elected Ms. Chen Jie as the employee representative director of the fourth board of directors. She will jointly form the fourth board of directors with other directors, with a term commencing from the date of her election and ending upon the expiry of the fourth board's term.
