SICC (2631) Announces Director Resignation and New Employee Representative Director

Hong Kong Exchanges and Clearing Limited and The Stock Exchange of Hong Kong Limited disclaim responsibility for the announcement from SICC CO., LTD. (Stock Code: 2631), which highlights recent changes in the board of directors. According to the company, its board received a written resignation from Executive Director Mr. Wang Junguo on October 30, 2025. The resignation took immediate effect as of the day it was submitted. Mr. Wang stated there was no disagreement with the board and no other matters requiring shareholder attention.

On the same day, at an employee representative meeting, Mr. Wang was elected as Employee Representative Director of the company’s second session of the board. This appointment is effective from October 30, 2025, through the end of the board’s second session. Under the relevant regulations in the People’s Republic of China, an employee representative director’s election takes effect upon approval by the employee representative meeting and does not require approval at the general meeting.

Mr. Wang, aged 46, has extensive financial management experience. He served as financial director of SICC Materials Co., Ltd. from August 2016 to November 2020. Subsequently, he acted as the financial director and finance business partner of SICC CO., LTD. from November 2020 to August 2024, and has held additional positions—securities affairs representative since August 2024 and joint company secretary since June 2025. Mr. Wang served as the company’s executive director from July 2, 2025, to October 30, 2025, and currently serves as chief financial officer of two subsidiaries, Shanghai Tianyue Semiconductor Material Co., Ltd. and Shanghai Yuelianfeng Technology Co., Ltd. He has held financial-related roles since 1996, with prior experience at several companies before joining the SICC group.

Mr. Wang graduated with an accounting major from Shandong Institute of Economics (now Shandong University of Finance and Economics) in 2001 via distance learning, and from China University of Petroleum (East China) in 2019 via online learning, both in Shandong Province. He was certified as an Intermediate Accountant by the Ministry of Finance of the PRC in 2003. Mr. Wang does not hold directorships in other public companies, does not have direct or deemed interests in the company’s shares as defined under relevant Hong Kong securities regulations, and has no relationships with any directors or substantial shareholders.

Under the new director’s service contract, Mr. Wang will not receive additional director’s fees beyond his remuneration for other current positions at the company. There is no further information requiring disclosure under the Hong Kong Listing Rules.

As of the date of the announcement, the board of SICC CO., LTD. comprises three executive directors, three non-executive directors, and three independent non-executive directors. The announcement is dated October 31, 2025.
