ANE (Cayman) Inc. Announces Derivative Dealings Under Scheme of Arrangement

On 21 January 2026, a disclosure of securities dealings in the shares of ANE (Cayman) Inc. was released pursuant to Rule 22 of the Hong Kong Code on Takeovers and Mergers. The transactions related to the proposed privatisation of ANE (Cayman) Inc. by way of a scheme of arrangement.

J.P. Morgan Securities PLC, identified as a Class (5) associate connected with the Offeror, reported several derivative dealings on 20 January 2026. These transactions included the issue of a derivative involving 2,000 reference securities at a total amount of US$24,228.00, with a maturity date of 10 February 2026, along with multiple closings out of derivative contracts referencing 2,998, 1,000, and 500 securities respectively on 22 April 2026. The reference prices ranged around US$12.11, resulting in respective total amounts of US$36,311.78, US$12,112.00, and US$6,056.00. After these dealings, the resultant balances ranged from 6,373,521 to 6,369,023.

All dealings were made for J.P. Morgan Securities PLC’s own account. J.P. Morgan Securities PLC is ultimately owned by JPMorgan Chase & Co.
