Tesson Holdings Calls 11 June 2026 SGM to Approve HK$105.00 Million Share Placement and Underwriting Mandate

Tesson Holdings Limited has convened a Special General Meeting (SGM) for 11 June 2026 at 11:00 a.m. in Hong Kong to seek shareholder approval for two capital-raising resolutions.

Placing Agreement • Date and parties: Signed on 17 April 2026 between the Company and Arta Asset Management Limited as placing agent. • Size and price: Up to 70.00 million new shares at HK$1.50 each, representing potential gross proceeds of HK$105.00 million. • Specific Mandate: Directors will request authority to allot and issue the full placement tranche.

Underwriting Agreement • Contingent tranche: Also dated 17 April 2026, the agreement appoints Double Key International Limited to underwrite and subscribe for up to 35.00 million shares not taken up in the placement. • Terms: Subscription price is fixed at HK$1.50 per share, implying a maximum commitment of HK$52.50 million. • Board authority: The Specific Mandate will also cover any shares issued under this underwriting arrangement.

Administrative Details • Register closure: 8 June 2026 to 11 June 2026 (both days inclusive). Share transfers must be lodged by 4:30 p.m. on 5 June 2026 to qualify for attendance and voting. • Proxy submission: Forms must reach Computershare Hong Kong Investor Services Limited at least 48 hours before the SGM.

Should adverse weather or “extreme conditions” disrupt the meeting schedule, the Company will announce a revised time and venue via the Hong Kong Stock Exchange and its corporate website.
