JNCEC AGM Greenlights RMB0.18-per-Share Final & Special Dividend; Appoints Grant Thornton as Domestic Auditor

Beijing Jingneng Clean Energy Co., Limited (JNCEC) reported that all ordinary and special resolutions were approved at its 25 June 2026 annual general meeting, where shareholders representing 6.41 billion shares—or 77.71 % of the 8.24 billion issued shares—voted by poll.

Dividend distribution • Final dividend: RMB0.1377 per share (tax inclusive) • One-off special cash dividend: RMB0.0423 per share (tax inclusive) • Total payout: RMB0.18 per share, equivalent to HK$0.20706 per H share based on an exchange rate of RMB0.86931 = HK$1. Shareholders on record as of 2 July 2026 will be eligible, and cheques are scheduled for dispatch on or around 29 July 2026.

Auditor appointments • International auditor: KPMG re-appointed for 2026 with a fee of RMB3.18 million. • Domestic auditor: Grant Thornton Certified Public Accountants (Special General Partnership) appointed for 2026 with a fee of RMB2.52 million, replacing the previous domestic audit firm.

Authorisations Shareholders granted the Board: 1. A general mandate to issue shares. 2. A general mandate to repurchase H shares. 3. Authority to determine the issuance of debt-financing instruments.

All ordinary resolutions passed with at least 98.01 % support; special resolutions met the two-thirds threshold, receiving between 96.98 % and 100 % approval.
