Risecomm Group Holdings Limited announced that Independent Non-Executive Director (INED) Mr. Zou Heqiang resigned with effect from 4 September 2026 to focus on other business commitments. Mr. Zou confirmed there was no disagreement with the Board, nor any matters requiring shareholder or Stock Exchange attention.
Following the departure, Risecomm’s Board now comprises six directors—two executive, two non-executive and two independent non-executive—leaving INED representation below one-third of total board membership. Consequently, the company no longer meets Hong Kong Listing Rule 3.10A, which mandates that independent non-executive directors account for at least one-third of the Board.
The resignation also reduces the audit committee to two members, breaching Listing Rules 3.10(1) and 3.21 that require a minimum of three INEDs and three audit committee members respectively.
Management stated it will “make its best endeavors” to appoint a suitable replacement within three months from 4 September 2026 to restore full compliance. Risecomm will issue a further announcement once a new INED is appointed.
