SYNAGISTICS (02562) announced that Ms. Pan Nanqi (Ms. Pan) has tendered her resignation as Non-Executive Director, member of the Audit Committee, member of the Nomination Committee, and Chairman of the Finance and Risk Committee, effective December 24, 2025, due to her intention to dedicate more time to other professional commitments. Additionally, Mr. Zhang Tiandan (Mr. Zhang) has resigned as Non-Executive Director, effective December 24, 2025, for the same reason.

The composition of the Board Committees will be adjusted as follows, effective December 24, 2025: Mr. Li Xuping, Executive Director and Chairman of the Board, has been appointed as Chairman of the Finance and Risk Committee; Ms. Dai Kexin, Executive Director, has been appointed as a member of the Nomination Committee and will no longer serve on the Remuneration Committee; Mr. Selva Bryan Ratnam, Independent Non-Executive Director, has been appointed as a member of the Audit Committee and will no longer serve on the Finance and Risk Committee; and Mr. Xie Weiting, Independent Non-Executive Director, has been appointed as a member of both the Finance and Risk Committee and the Remuneration Committee.
