AI Arms Race Fuels $1.65 Trillion Off-Balance Sheet Risk Among Tech Giants, Sparking Liquidity Fears

The frenzied competition among America's leading technology giants to build artificial intelligence (AI) infrastructure is creating a massive "hidden debt empire," with obligations far exceeding their officially reported liabilities.

A recent analysis of financial report footnotes from Alphabet (GOOGL.US), Microsoft (MSFT.US), Amazon (AMZN.US), Meta Platforms, Inc. (META.US), and Oracle (ORCL.US) reveals that their combined off-balance-sheet commitments have ballooned to $1.65 trillion.

This figure not only surpasses their disclosed liabilities of approximately $1.35 trillion but has also skyrocketed by eight times over the past four years.

The sheer scale of these off-balance-sheet obligations is raising significant concerns among Wall Street and global regulators that these future payment promises, hidden in footnotes, could rapidly transform into a "debt bomb" consuming cash flows if AI demand falls short of lofty expectations.

Off-the-Books Commitments from AI Spending

This "hidden debt" refers to future payment obligations arising from agreements for investments, equipment purchases, or long-term leases.

Under current accounting rules, these obligations are not recognized as liabilities on the main balance sheet until the assets are received or facilities are completed, appearing only in the fine print of financial report footnotes.

In the intense global race for AI dominance, tech giants are spending vast sums on high-end GPUs and constructing massive data centers.

To avoid an immediate and drastic inflation of their on-balance-sheet debt, they commonly use long-term purchase commitments and financing models like sale-leasebacks or long-term leases for data centers.

This approach legally leverages accounting rules to defer the recognition of massive capital expenditure pressures, but simultaneously piles up a mountain of off-balance-sheet debt.

Rapid Growth and Concentrated Risks

Among the five companies, Meta Platforms, Inc.'s off-balance-sheet obligations are estimated to be the most staggering at roughly $420 billion, nearly 2.8 times its on-balance-sheet debt.

Meta Platforms, Inc. is co-building a giant data center in Louisiana with Blue Owl Capital (OWL.US), where total development costs have surged from an initial $27 billion to over $50 billion.

While Meta Platforms, Inc. has contributed only 20% in equity and plans to lease the facility, reportedly it has agreed to guarantee all losses if the partnership fails—a potential hard obligation not reflected on its balance sheet.

Oracle's hidden debt has exploded, growing over 30 times in four years to $273 billion, largely from extensive lease arrangements, with a significant portion earmarked for its "Stargate" AI data center project in collaboration with OpenAI.

Meanwhile, while the combined backlog of cloud service and other business orders at Microsoft, Alphabet, and Amazon totals about $1.45 trillion, providing some apparent support for future revenue, their accumulating long-term payment commitments remain a looming concern.

Potential Liquidity Crisis on the Horizon

The core fear is that if global AI demand growth fails to meet the industry's high expectations, these deferred obligations could abruptly transform into real cash flow drains.

Industry experts note that while commercial real estate leases retain considerable asset value, AI data centers are filled with rapidly iterating semiconductors that depreciate quickly due to technological progress.

If weak AI demand leads to declining utilization rates, tech giants could face massive asset impairment losses.

Of particular concern is the prevalent "circular investment" model, where tech companies invest in each other's AI services to bolster reported revenue and demand metrics, masking end-user demand uncertainty in the short term.

However, if real demand cannot absorb the enormous computing power currently under construction, the deferred payments will come due all at once when data centers become operational.

Although tech leaders remain optimistic, with executives like the head of Amazon AWS insisting current AI infrastructure investments are not speculative, the explosive growth in off-balance-sheet liabilities is an undeniable fact.

Central Bank Watchdog Issues Stark Warning

As tech giants amass leverage both on and off their balance sheets, the Bank for International Settlements (BIS), often called the "central bank for central banks," has issued a blunt warning in its latest annual economic report.

The BIS directly compares the current trillion-dollar AI investment frenzy to historical precedents like the 19th-century canal mania, the British railway bubble, and the 2000 dot-com bubble, noting that "these precedents all ended with investment reversals and economic recessions."

The report estimates that combined AI-related capital expenditure for the five major US hyperscale cloud providers will exceed $1 trillion in 2025-2026, surpassing what their profits and free cash flow can support, forcing some to take on debt.

The BIS specifically highlighted the "complex network of private transactions" behind this, where tech giants secure long-term purchases of their own computing power through equity investments in AI labs, and third-party contractors build data centers and lease them back under long-term contracts with poorly disclosed exit clauses, risking duplicate collateralization of the same assets.

If spending halts, the entire supply chain—from chipmakers and infrastructure builders to private and direct investment funds—could face a simultaneous income stream rupture.

With direct lending exposure to the AI sector having quadrupled over five years, combined with still-high inflation and geopolitical shocks, the financial system could experience a chain reaction correction more rapid than a traditional banking crisis.

The BIS report states clearly: "The scale and speed of the current AI investment boom, coupled with widespread expectations of a major productivity boost, bear a strong resemblance to these historical precedents. And the end result in those cases was invariably a sudden reversal of investment, followed by a widespread economic downturn."
