China Shenhua Energy Company Limited disclosed that its 20th meeting of the sixth-session board, convened on 23 July 2026 in Beijing and via video link, approved three key resolutions with unanimous consent from all seven voting directors.
The board nominated Yih Dieter Lai Tak and Zhang Mengjiao as independent non-executive directors for the remainder of the current board term, citing full compliance with regulatory and corporate governance requirements.
Directors also cleared the establishment of a wholly owned subsidiary—China Energy Inner Mongolia Coal Technology Research Institute Co., Ltd. (provisional name)—with registered capital of RMB1.00 billion. The unit will be formed in Inner Mongolia to advance coal-related technology research; the chief executive officer is authorised to finalise registration, governance and documentation.
Additionally, the board agreed to convene the company’s third extraordinary general meeting of 2026, with formal notice to be issued separately.
All resolutions passed with 7 assenting votes, and no dissentions or abstentions were recorded. Song Jinggang, chief financial officer and board secretary, signed the announcement on 24 July 2026.
