COUNTRY GARDEN Issues 16.74 Million Shares Following Conversion of Zero-Coupon Mandatory Convertible Bonds

COUNTRY GARDEN (02007) announced that on April 14, 2026, it issued 16.7357 million shares due to the conversion of its zero-coupon mandatory convertible bonds (Mandatory Convertible Bonds (A)), which mature 78 months from June 30, 2025. Additionally, the company issued 60.6967 million SCA warrant shares following the exercise of warrants (SCA Warrants) issued to the original lenders of the SCA loan under the SCA warrant instrument. Furthermore, under a general mandate, 219 million project team work fee shares were issued and allotted to members of the project team at an issue price of HK$0.32 per share.
