Rongzun International sets 8 Sep 2026 AGM to adopt FY 2026 results, confirm CCTH CPA as auditor and renew 20% issue/10% buy-back mandates

Rongzun International Holdings Group Limited will convene its annual general meeting (AGM) on 8 September 2026 at 12:00 noon in Room 1102, 11/F, Woon Lee Commercial Building, 7-9 Austin Avenue, Tsim Sha Tsui, Kowloon. Shareholders will vote on seven ordinary resolutions that frame the company’s near-term governance and capital-management agenda.

Key resolutions: 1. Financial statements: Adoption of the audited consolidated financial statements and the reports of the directors and independent auditor for the year ended 31 March 2026. 2. Auditor appointment: Engagement of CCTH CPA Limited as external auditor, with authority for the board to fix remuneration. 3. Board composition: Re-election of Dr Hiroshi Kaneko as executive director and Mr Sung Ka Woon as independent non-executive director. 4. Directors’ remuneration: Authorisation for the board to determine directors’ fees. 5. Issuance mandate: General mandate allowing directors to allot and issue new shares up to 20% of the company’s issued share capital as at the date of approval. 6. Repurchase mandate: General mandate permitting the repurchase of shares up to 10% of issued share capital as at the date of approval. 7. Mandate extension: Expansion of the issue mandate by the amount of shares actually repurchased under the above buy-back authority, capped at an additional 10% of issued shares.

Procedural details: • Shareholders may appoint the AGM chairman or another proxy to vote on their behalf; proxy forms must reach Boardroom Share Registrars (HK) Limited no later than 48 hours before the meeting. • Each share carries one vote; members holding multiple shares may appoint more than one proxy, provided the share allocation for each proxy is specified. • The form of proxy lapses 12 months after execution unless used at an adjourned meeting within that period. • Shareholders attending in person or by proxy must present proof of identity.

Rongzun International’s shares carry a par value of HK$0.01 each. The AGM notice and full resolution texts were issued on 28 July 2026.
