Inspur Digital Enterprise Announces 17 June 2026 AGM, Proposes HK$0.04 Final Dividend and Plans Redomicile to Hong Kong

Inspur Digital Enterprise Technology Limited has scheduled its Annual General Meeting for 17 June 2026 at 10:00 a.m. in Kowloon Bay, Hong Kong. Shareholders will vote on the audited results for the year ended 31 December 2025, the re-election of two executive directors (Mr. Wei Daisen and Mr. Cui Hongzhi) and one non-executive director (Mr. Xie Bingbing), and the re-appointment of SHINEWING (HK) CPA Limited as external auditor for 2026.

Key financial proposal • Final dividend: The Board is recommending a cash dividend of HK$0.04 per share for FY 2025. • Dividend timetable: The share register will close from 1 July 2026 to 6 July 2026. Shares must be on record by 4:30 p.m. on 30 June 2026 to qualify.

Capital mandates up for approval • Share issuance mandate: Authority for the Board to allot and issue new shares up to 20% of the company’s issued share capital as at the AGM date. • Share repurchase mandate: Permission to buy back shares on the market up to 10% of issued capital. • Extension mandate: Any shares repurchased under the 10% limit can be added to the 20% issuance mandate.

Strategic corporate action A special resolution seeks shareholder consent to change the company’s place of domicile from the Cayman Islands to Hong Kong under the Companies Ordinance (Cap. 622). Conditional on regulatory clearance, new articles of association will replace the existing constitutional documents.

Key record dates • AGM attendance: Share register closed 12 June 2026–17 June 2026; transfers must be lodged by 4:30 p.m. on 11 June 2026. • Dividend entitlement: Transfers must be completed by 4:30 p.m. on 30 June 2026.

Shareholders may appoint proxies up to 48 hours before the AGM. All resolutions, except procedural matters, will be decided by poll in accordance with Hong Kong Stock Exchange rules.
