CHK Oil Limited has added an ordinary resolution to its 26 June 2026 annual general meeting (AGM) agenda, proposing the appointment of HLB Hodgson Impey Cheng Limited as external auditor for the financial year ending 31 December 2026.
The current auditor, Forvis Mazars CPA Limited, has served since June 2020 and will retire at the close of the forthcoming AGM. The Board cited good corporate-governance practice and auditor rotation after an “appropriate period of time” as the primary rationale for the change.
Audit Committee review • Independence, industry knowledge, market reputation, technical competence and resources were assessed. • The committee determined HLB Hodgson Impey Cheng meets Hong Kong Listing Rules and Hong Kong Financial Reporting Standards requirements. • No disagreements or unresolved matters exist between CHK Oil and Forvis Mazars; the outgoing firm confirmed it had no issues to bring to shareholders’ attention.
Proposed remuneration • The estimated audit fee for HLB Hodgson Impey Cheng is HK$1.15 million, based on the current scale and complexity of CHK Oil’s operations. • The fee may be revised only if there is a material change in operations, accounting policies or regulatory environment; any such change would be disclosed separately.
AGM logistics The AGM will be held at 11:00 a.m. on 26 June 2026 at Units 2617-18, 26/F, Mira Place Tower A, 132 Nathan Road, Kowloon, Hong Kong. Shareholders must submit proxy forms at least 48 hours before the meeting; voting will be conducted by poll, and results will be released under Rule 13.39(5) of the Listing Rules.
The Board recommends shareholders vote in favour of the proposed auditor change.
