China Feihe Limited announced that all seven ordinary resolutions tabled at its 5 June 2026 annual general meeting were approved by wide margins, ensuring continuity in governance and capital-management flexibility.
Financial Statements and Dividend Shareholders representing 99.95% of votes cast (5.41 billion shares) adopted the audited consolidated results for the year ended 31 December 2025. A final dividend of HK$0.129 per share was ratified, with 99.99% of votes (5.42 billion shares) in favour.
Board Composition Five directors secured new terms: • Executive directors: Mr Liu Hua (98.09% support) and Mr Cai Fangliang (99.17%). • Non-executive director: Mr Cheung Kwok Wah (99.16%). • Independent non-executive director: Ms Liu Jinping (98.91%). Shareholders also authorised the board to determine directors’ remuneration with 99.96% approval.
Auditor Reappointment Ernst & Young was re-appointed as external auditor, backed by 99.89% of votes cast, with authority granted to the board to fix its remuneration.
Capital Management Mandates • Share repurchase mandate: Directors may buy back up to 10% of issued shares (excluding 259.59 million treasury shares), approved by 99.99% of votes. • Issuance mandate: Authority to issue, allot or deal with new or treasury shares up to 20% of issued share capital passed with 89.39% support. • Mandate extension: The issuance limit can be increased by the amount of any shares repurchased, endorsed by 90.09% of votes.
Share Base and Attendance As of the meeting date, China Feihe had 9.07 billion shares in issue, of which 8.81 billion were entitled to vote. All directors attended the AGM in person or electronically, and Computershare Hong Kong Investor Services Limited acted as scrutineer for the poll.
