EDA Group Postpones Circular on Major Lease Transaction, Seeks HKEX Waiver

EDA Group Holdings Limited has announced a delay in the despatch of its shareholder circular relating to a major transaction under a recently signed Lease Agreement. The document, originally scheduled for release on or before 13 August 2026, is now expected to be issued no later than 24 August 2026.

The extension is required to finalise several disclosures: 1. Detailed breakdown of value-added tax and interest payable under the Lease Agreement, together with the associated financial effects. 2. Results of an independent review comparing the agreed rent with prevailing market levels for comparable premises. 3. Additional information on the ultimate beneficial owners of the landlord involved in the transaction.

Given the revised timetable, EDA Group has applied to The Stock Exchange of Hong Kong Limited for a waiver from strict compliance with Rule 14.41(a) of the Listing Rules, which governs the deadline for circular despatches in major transactions. The company stated that further announcements will be issued to update shareholders on the waiver application and confirm the amended despatch date.

The board continues to comprise three executive directors, two non-executive directors and four independent non-executive directors, with Mr. Liu Yong serving as Executive Director and Chairman.
