Weichai Power (2338.HK) Announces EGM Poll Results, Director Elections, and Board Committee Changes

Weichai Power Co., Ltd. (Stock Code: 2338) convened an Extraordinary General Meeting (EGM) on 30 January 2026. According to the announcement, all resolutions proposed at the meeting were passed by way of poll.

Resolution 1, concerning the extension of performance of the undertaking on non-competition by Shandong Heavy Industry, was approved with about 99.7300% of votes in favor, 0.0275% against, and 0.2425% abstaining. In relation to this resolution, Weichai Group Holdings Limited, holding 1,422,550,620 A shares, was required to abstain and did not vote.

Resolution 2 approved the election of Ms. Zhang Weili as an independent non-executive director, with about 99.8888% in favor, 0.0172% against, and 0.0940% abstaining. Resolution 3 approved the election of Mr. Wang Yanlei as a non-executive director, with about 92.9655% in favor, 6.9831% against, and 0.0514% abstaining.

Ms. Zhang and Mr. Wang will serve until the conclusion of the annual general meeting for the year ending 31 December 2026. With effect from 30 January 2026, Ms. Zhang will also join the audit committee and remuneration committee.

A total of 3,777,548,125 shares were voted in person or by proxy, representing approximately 43.6039% of the issued shares entitled to vote. Company directors and relevant parties acted as scrutineers to confirm the poll results.
