NWD Finance (BVI) Defers June 2026 Distributions on Two USD 1.50 Billion Perpetual Securities

NWD Finance (BVI) Limited, issuer of two U.S.-dollar-denominated guaranteed senior perpetual capital securities totaling USD 1.50 billion, has elected to defer the upcoming June 2026 distribution payments in accordance with the terms and conditions of the instruments.

The securities affected are: • Series C Perpetual Securities, principal amount USD 500.00 million, with the distribution originally scheduled for 16 June 2026. • Series D Perpetual Securities, principal amount USD 1.00 billion, with the distribution originally scheduled for 22 June 2026.

Under Condition 4(d) of the respective security terms, the issuer may opt to defer distributions without constituting a default. The guarantor, New World Development Company Limited (NWD; HKEX: 00017), has issued a certificate confirming that an Optional Deferral Event is ongoing, satisfying the contractual requirement for deferment.

Deferred distributions will accrue and become payable on the next respective distribution payment dates unless further deferral is exercised, as permitted by the securities’ documentation.

The group stated that additional announcements will be made in compliance with Hong Kong listing rules and relevant regulations. Holders and prospective investors are advised to exercise caution when dealing in the perpetual securities.
