Archosaur Games to Seek Shareholders’ Approval for New 2026 RSU Scheme, Capping Grants at 80.04 Million Shares

Archosaur Games Inc. (祖龍娛樂有限公司) has issued a proxy notice for an extraordinary general meeting (EGM) scheduled on 19 August 2026 in Beijing. Shareholders will vote on two ordinary resolutions aimed at overhauling the company’s equity incentive structure.

1. Adoption of the 2026 RSU Scheme • Aggregate limit: up to 80.04 million shares, or roughly 10% of the company’s issued share capital excluding treasury shares as at the EGM date. • Composition of the pool: – 67.81 million new shares, whose listing and dealing remain subject to Hong Kong Stock Exchange approval. – 12.02 million shares already held by subsidiary Smooth Ebony Limited for future grants under the existing Pre-IPO RSU Scheme. – 0.21 million unallocated trust shares carried over from the 2022 RSU Scheme, earmarked to satisfy upcoming awards. • Directors will be authorised to grant RSUs and issue the corresponding shares, as well as to execute all ancillary actions required for the scheme’s implementation.

2. Termination of the 2022 RSU Scheme Upon approval and launch of the 2026 RSU Scheme, the 2022 RSU Scheme will be terminated, save for any RSUs that have been granted but remain unvested.

Shareholders unable to attend may appoint the meeting chairman or another proxy to vote on their behalf, with proxy forms due at the Hong Kong share registrar no later than 48 hours before the EGM.
