CRYPTO FLOW (08198) has announced that on September 4, 2026 (after trading hours), Quantum Mind, an indirect wholly-owned subsidiary of the company, entered into a purchase agreement to acquire certain artificial intelligence-related facilities intended for AI services at a consideration of RMB 34.4 million (approximately HK$40 million).
As of the announcement date, the supplier is wholly owned by Mr. Jiang Zhiqiang, while the supplier's receiving agent is wholly owned by Mr. Duan Yulong. Following all reasonable inquiries, the directors confirm, to the best of their knowledge, information, and belief, that the supplier, the receiving agent, and their ultimate beneficial owners are all independent third parties.
Under the purchase agreement, the buyer (a wholly-owned subsidiary designated by the company) will purchase the equipment—comprising AI service facilities—for RMB 34.4 million (approximately HK$40 million). These facilities are intended for use in the group's AI data center operations.
As part of its business development strategy, the group has been actively exploring various initiatives to diversify its revenue streams and enter high-growth sectors. The group is currently planning, among other things, to expand its existing big data center business into the AI data center space. For years, data center operations have been a core pillar of the group's business, enabling it to build substantial expertise in the construction, operation, and maintenance of related infrastructure.
With the rapid ascent of AI, demand for AI-related infrastructure—including AI data centers—has surged significantly. The group intends to leverage its established expertise in big data center operations to focus on the development and leasing of AI-related facilities, such as GPU servers, within AI data centers. The acquisition of this equipment marks the first step in expanding into the AI data center segment, with expectations that the group can capitalize on its experience in supporting critical infrastructure, including power supply and cooling systems needed for AI facility construction.
The company plans to fund the consideration under the purchase agreement using a portion of the net proceeds from its placement exercise.
