Recently, the securities misrepresentation case involving investors suing Weichuang Group Co., Ltd. (formerly known by the stock abbreviations *ST Weichuang and Weichuang Co., formerly stock code 002308) has continued to advance. Lawyer Li Jian from Zhejiang Yufeng Law Firm, who has previously represented investors in winning compensation from over 150 listed companies, stated that the statute of limitations for Weichuang Co.'s compensation claims has only two months remaining, and affected shareholders can still pursue their claims.
Looking back at the case, on June 23, 2025, Weichuang Co. released an announcement regarding the company receiving an Administrative Penalty Decision from the Guangdong Regulatory Bureau of the China Securities Regulatory Commission. According to the main contents of the Administrative Penalty Decision (Guangdong Regulatory Bureau [2025] No. 5), the Guangdong Regulatory Bureau found that Weichuang Co. committed the following violations: first, Weichuang Co. failed to disclose its 2023 annual report within the statutory deadline; second, Weichuang Co. failed to disclose its 2024 semi-annual report within the statutory deadline.
The main contents of the Administrative Penalty Decisions (Guangdong Regulatory Bureau [2025] No. 6 and No. 7) state that the Guangdong Regulatory Bureau found that Weichuang Co., Liu Jun, and Lu Keping committed the following violations: first, Lu Keping failed to inform Weichuang Co. of changes in the actual controller, and Weichuang Co. failed to timely disclose the relevant information as required, resulting in false records in its 2023 semi-annual report; second, Liu Jun failed to timely fulfill the reporting obligation for the agreed acquisition as required, and Lu Keping failed to inform Weichuang Co. of significant changes in control, with Weichuang Co. failing to timely perform its information disclosure obligations as required; third, Weichuang Co. failed to timely disclose non-operational fund occupation by related parties; fourth, Weichuang Co. failed to timely disclose non-operational fund transactions with related parties, resulting in false records in its 2023 third-quarter report.
Under the judicial interpretation on misrepresentation, when listed companies, actual controllers, and others cause losses to investor rights through securities misrepresentation, investors can file lawsuits for compensation, which includes losses from investment differences, commissions, and stamp taxes.
On February 3, 2026, Weichuang Co. issued a major litigation announcement stating that the Guangzhou Intermediate People's Court in the first instance ordered the defendant company to compensate the plaintiff Zhang for investment difference losses, commissions, and stamp taxes totaling 116,550.88 yuan, with Lu Keping and 10 other defendants bearing joint liability in varying proportions.
"The delisting of a listed company does not affect investors' right to file compensation claims in accordance with the law, and we have already represented multiple groups of investors in lawsuits," said Lawyer Li Jian. According to the judicial interpretation, it is preliminarily determined that investors who purchased *ST Weichuang stock between June 26, 2023, and December 22, 2023, and still held the stock at the close on December 22, 2023, may be eligible for compensation. The final compensation conditions are subject to court determination.
To file a compensation claim, investors need to provide a securities account opening information query form, stock statements (from June 1, 2023, to the present), and contact information.
