CCTC Schedules 21 September 2026 EGM to Vote on Capital Increase, Articles Amendments and 2026 ESOP

Chaozhou Three-Circle (Group) Co., Ltd. (CCTC) has issued a proxy form for its second extraordinary general meeting (EGM) for 2026, set for 2:30 p.m. on 21 September 2026 at the company’s conference room in Chaozhou, Guangdong Province, PRC. The meeting will be open to both A- and H-shareholders, who may attend in person or vote by proxy.

Key items on the agenda include:

1. Special Resolutions • Change of Registered Capital: Shareholders will decide whether to approve an adjustment to the company’s registered capital base. • Amendments to Governance Documents: Two separate votes will address revisions to the Articles of Association and to the Rules of Procedures of the Board.

2. Ordinary Resolutions • Adoption of the 2026 A-Share Employee Stock Ownership Plan (ESOP) and its detailed summary. • Approval of Administrative Measures governing the 2026 ESOP. • Authorization for the Board to execute and manage all matters related to the ESOP.

Voting Mechanics • Each resolution requires more than 50% of voting rights cast by shareholders present, except special resolutions, which demand at least a two-thirds majority. • Shareholders can appoint the Chairman of the Meeting or another person as proxy. Proxy forms, along with notarised authorisations where applicable, must reach Computershare Hong Kong Investor Services by 2:30 p.m. on 20 September 2026.

Attendance & Identification • Individual shareholders attending in person must present valid identification; corporate shareholders should be represented by their legal representative or an authorised proxy with proper documentation.

The outcomes of these votes will determine CCTC’s future capital structure, corporate governance framework, and employee incentive program for 2026.
