B&K CORP-B to Replace Orient Capital With Somerley as Compliance Adviser Effective 15 October 2026

B&K Corporation Limited has entered into a termination agreement with its current compliance adviser, Orient Capital (Hong Kong) Limited, ending their mandate on 15 October 2026 due to Orient’s internal business assessment and commercial considerations. Both parties stated that no other matters require shareholder or Stock Exchange attention.

Concurrently, B&K Corporation has appointed Somerley Capital Limited as its new compliance adviser from 15 October 2026. Somerley, licensed by Hong Kong’s Securities and Futures Commission for Type 1 (dealing in securities) and Type 6 (advising on corporate finance) activities, will serve until the earlier of: 1) the Company’s compliance with Listing Rule 13.46 for its first full post-listing financial year ended 31 December 2026, or 2) the termination of the adviser agreement under its terms.

The board composition remains unchanged, with Ms. Jia Lijia continuing as Chairperson and Executive Director.
