The document outlines that the committee’s key purpose is to identify, screen, and recommend candidates for directorship, oversee performance evaluations of the Board, and develop nomination guidelines.
The committee is composed of a majority of independent non-executive directors who meet prescribed independence requirements. The board of directors appoints members, including a requirement to include at least one director of a different gender. The committee meets at least once annually or more frequently if circumstances require.
The updated guidelines specify that the Nomination Committee has full access to management and may seek external professional advice at the company’s expense. Its responsibilities include reviewing board composition and diversity, assessing independence of independent non-executive directors, supporting board performance evaluations, and formulating board succession plans.
The Terms of Reference were adopted on 24 June 2005 and subsequently revised on 23 March 2012, 8 November 2013, 29 December 2022, and 26 November 2025. The English version of the document remains the prevailing reference.
