Xizhi Technology Schedules 29 June 2026 Online AGM to Vote on 2025 Profit Distribution, PwC Reappointment and Dual Share Mandates

上海曦智科技股份有限公司(Xizhi Technology, 01879)has released the proxy form for its 2026 Annual General Meeting (AGM), confirming that the session will be held online at 11:00 a.m. on 29 June 2026.

Key resolutions to be tabled:

1. Ordinary business • Adoption of the Board of Directors’ 2025 work report. • Approval of the 2026 remuneration scheme for directors. • Approval of the 2025 profit distribution plan. • Reappointment of PricewaterhouseCoopers as the Company’s auditor for 2026, with authority granted to the Board (or its delegate) to determine audit fees.

2. Special business • Granting a general mandate to repurchase H shares. • Granting a general mandate to issue H shares.

Shareholders intending to exercise voting rights via proxy must submit the completed proxy form and relevant authorization documents to Tricor Investor Services Limited (for H-share holders) or to the Company’s PRC headquarters (for unlisted-share holders) no later than 11:00 a.m. on 28 June 2026 (Hong Kong time), 24 hours before the AGM commences.

H-shareholders may also appoint an individual proxy other than the chairman, specifying the number of shares represented. Attendance through the provided online login credentials will be available to all registered shareholders, including joint holders, who may vote electronically during the meeting.
