CGN New Energy Schedules 28 May 2026 AGM; Agenda Includes FY 2025 Dividend, Director Re-elections and Share Mandates

CGN New Energy Holdings Co., Ltd. (CGN New Energy) will hold its Annual General Meeting on 28 May 2026 at 10:00 a.m. in Boardroom 3-4, Mezzanine Floor, Renaissance Harbour View Hotel, Hong Kong. The agenda comprises seven ordinary resolutions to be decided by poll.

1. Financial Statements and Dividend • Shareholders will receive the audited consolidated financial statements, the Report of the Directors and the Independent Auditor’s Report for the year ended 31 December 2025. • A final dividend for FY 2025 will be put to vote.

2. Board Composition and Remuneration • Re-election of Executive Director Hu Guangyao, Non-Executive Director Zhao Xianwen and Independent Non-Executive Director Yang Xiaosheng. • Authorisation for the Board to determine directors’ remuneration.

3. Auditor Appointment • Proposal to re-appoint KPMG as auditor for the next financial year and to authorise the Board to fix its remuneration.

4. Share Capital Authorities • General mandate empowering directors to repurchase shares. • General mandate authorising directors to issue new shares.

Shareholders entitled to attend may appoint one or more proxies; completed forms must reach Tricor Investor Services Limited no later than 48 hours before the meeting. All resolutions will be decided by poll.
