GAODI HOLDINGS Launches HK$24.99 Million Non-Underwritten Rights Issue at HK$0.19 per Share

GAODI HOLDINGS will raise up to HK$24.99 million through a non-underwritten rights issue, offering one Rights Share for every two existing shares held on the 24 June 2026 record date. A maximum of 131.55 million new shares will be issued at HK$0.19 each, representing:

• 12.44% discount to the 5 June 2026 closing price of HK$0.217. • 9.0% discount to the theoretical ex-rights price of HK$0.2088. • 51.90% discount to the 30 June 2025 audited NAV of HK$0.395 per share.

Post-issue, the share count may rise to 394.64 million, expanding capital by 33.33%.

Key terms • Basis: 1 Rights Share for every 2 existing shares. • Subscription period: 25 June – 10 July 2026 (latest acceptance/payment 4:00 p.m., 10 July 2026). • Nil-paid Rights trading: 29 June – 7 July 2026; board lot size changes from 4,000 to 10,000 shares on 29 June 2026. • Non-underwritten: no minimum subscription; issue may scale down if acceptances trigger a mandatory offer obligation. • Placing of unsubscribed and non-qualifying shares: KGI Asia engaged on a best-effort basis; placing price not lower than HK$0.19. Net premium, if any, will be returned pro rata to non-participating shareholders holding lapsed rights.

Use of proceeds (HK$24.26 million net) • 40% (HK$9.70 million): working capital and restructuring for the food products segment. • 40% (HK$9.70 million): expansion and operating needs of the food & beverage business, including a new Shenzhen restaurant targeted for 3Q 2026. • 20% (HK$4.86 million): general group working capital.

Financial snapshot • Net tangible assets at 31 December 2025: RMB84.28 million (HK$*). • Pro forma NTA per share post-issue: RMB0.27 (HK$*), down from RMB0.33. (*FX not provided).
