Link Holdings Limited announced the appointment of Mr. Leung Kai Ho as an Independent Non-Executive Director (INED) effective 8 June 2026, filling a board vacancy and restoring full compliance with key GEM Listing Rule requirements.
Mr. Leung, aged 38, holds a Bachelor of Business Administration (Finance) from Hong Kong Shue Yan University and brings over 14 years of experience in administration, operations support and customer service. His recent roles include manager at Exceed Consulting Limited (since February 2024), hotline customer service supervisor at HKetoll (2023), and operational positions at Autosec Hong Kong Limited (2017–2022) and WL Technology Global Limited (2012–2017).
Under a three-year appointment letter, Mr. Leung will receive a director’s fee of HK$0.10 million per annum, subject to periodic review by the Remuneration Committee and the Board. He will stand for re-election at the next annual general meeting and subsequently retire by rotation at least once every three years. Mr. Leung has confirmed that he meets all independence criteria under GEM Listing Rule 5.09 and holds no interests in the Company’s shares nor any relationships with substantial or controlling shareholders.
Concurrently, Mr. Leung joins both the Audit Committee and Remuneration Committee. His induction lifts the number of INEDs to three, fulfilling GEM Listing Rules 5.05(1) and 5.05A, and increases Audit Committee membership to the minimum three required under Rule 5.28. The Remuneration Committee now also meets its minimum membership threshold.
Following these changes, Link Holdings’ Board comprises one executive director, five non-executive directors and three independent non-executive directors.
