FAR International Completes First-Stage Acquisition, Secures 51% Control of COPE and Hyperlining

FAR International Holdings Group Company Limited announced the completion of the first stage of its previously disclosed major transaction on 28 April 2026. All conditions precedent under the acquisition agreement have been satisfied, and closing has taken place as scheduled.

Key transaction results:

• FAR International now owns 100% of COPE Holding and Hyperlining Holding. Through these entities it indirectly controls 44.55% of COPE and 51% of Hyperlining.

• FAR Luxembourg Holdings Sarl, a wholly owned subsidiary of FAR International, has subscribed for 6.45% of newly issued COPE shares.

• Aggregating direct and indirect holdings, FAR International’s stake in COPE stands at 51%, granting majority control.

• The acquired entities have become subsidiaries of FAR International; their financial results, assets and liabilities will be fully consolidated into the group’s accounts.

The board noted that additional announcements will be issued on the progress of the agreed Shareholding Increase Plan and the Final Equity Acquisition as required.
