Crypto Flow Raises HK$97.00 Million via 66.67 Million-Share Placement to Fund AI-Driven Expansion

Crypto Flow Technology Limited has completed a share placement that introduces 66.67 million new shares—equivalent to 8.50% of the enlarged share capital—at HK$1.50 per share. The transaction, executed under the company’s general mandate, closed on 2 September 2026 after the Hong Kong Stock Exchange approved the listing of the new shares on 19 August 2026.

The placement was distributed to at least six institutional investors, all classified as independent third parties. No placee became a substantial shareholder as a result of the transaction.

Net proceeds of approximately HK$97.00 million (net price: HK$1.45 per share) will be allocated as follows: • HK$40.00 million (41.3%) to expand the Group’s big-data centre business into AI-related facilities. • HK$30.00 million (30.9%) to develop computing-power services. • HK$10.00 million (10.3%) for research and development. • HK$17.00 million (17.5%) for general working capital, covering staff costs, leasing, IT, marketing and professional fees.

Post-placement, the company’s total issued shares stand at 784.23 million. Manful Kingdom Limited remains the largest shareholder with 279.82 million shares (35.68%), while the placees collectively hold 66.67 million shares (8.50%). Other public shareholders account for 55.82% of the register.
