Lai Si Enterprise Details Internal Controls for Ongoing Construction Contracts with Premier Property

Bulletin Express09-30

Lai Si Enterprise Holding Limited has released a supplemental announcement clarifying the internal control framework that governs its continuing connected transactions with Premier Property Company Limited under their 2 September 2026 Master Agreement.

According to the filing, contract fees between any Lai Si subsidiary and Premier Property will be determined through arm’s-length negotiations on a project-by-project basis. To verify pricing remains in line with market standards, the subsidiary will benchmark each proposed fee against at least three comparable projects completed for independent third parties within the past two years. Key pricing inputs include raw-material and labour costs, subcontracting expenses, project schedule, location, site conditions and overall project complexity, with a markup of 10%–30% applied on a case-by-case basis.

The approval workflow is tiered: bids below MOP 0.20 million require sign-off by project managers and the project director, while amounts at or above that threshold must be cleared by the Chief Executive Officer. An engineer has been appointed to conduct monthly sample checks ensuring adherence to the pricing mechanism; findings are subsequently reviewed by the CEO.

Lai Si’s finance department monitors aggregate transaction values under the Master Agreement and will halt further work if spending reaches 80% of the prescribed annual cap pending Board review. Independent non-executive directors carry out an annual assessment to confirm that terms remain fair, on normal commercial footing and in the interests of all shareholders, while the company’s external auditor provides separate yearly assurance to the Board.
