3SBio AGM Endorses HK$0.25 Final Dividend, Passes All Resolutions and Appoints KPMG as Auditor

3SBio Inc. held its Annual General Meeting on 25 June 2026, with all six directors present in person or electronically. Based on the poll count supervised by Computershare Hong Kong Investor Services, every resolution on the agenda secured majority support.

Shareholder participation • Voting rights attached to 2.50 billion shares were eligible. • The highest vote count was 1.03 billion shares on Resolution 1, implying a turnout of roughly 41%.

Key poll results 1. Adoption of the FY 2025 audited financial statements was approved with 99.92 % support (1.03 billion votes in favour). 2. Re-election of independent non-executive directors received large majorities: 96.76 % for Mr. Pu Tianruo and 98.62 % for Mr. Ng Joo Yeow Gerry. 3. Director remuneration authority passed with 99.97 % approval. 4. Shareholders backed a HK$0.25 final dividend per share with 100 % support (rounded). 5. KPMG was appointed auditor, replacing retiring Ernst & Young, with 99.79 % support. 6. Capital mandates: • General issue mandate (up to 20 % of issued share capital) was approved by 71.18 % of votes. • Share repurchase mandate (up to 10 %) gained 99.96 % approval. • Extension of the issue mandate by repurchased shares also passed with 71.73 % support.

Dividend timetable • Record date: Monday, 27 July 2026 • Payment date: Tuesday, 4 August 2026 Treasury shares and any repurchased but uncancelled shares will not qualify for the dividend.

Auditor transition Ernst & Young retired at the AGM conclusion. KPMG will serve until the end of the next AGM. The Board expressed gratitude to EY for past service.

Board composition (post-AGM): Executive Directors – Dr. Lou Jing (Chairman), Ms. Su Dongmei; Non-executive Director – Ms. Zhang Jiaoe; Independent Non-executive Directors – Mr. Pu Tianruo, Ms. Yang Hoi Ti Heidi, and Mr. Ng Joo Yeow Gerry.
