ZHIHUI MINING (02546) has announced the signing of a cooperation framework agreement with Zhao Jin Nonferrous Mining Co., Ltd. on September 17, 2026, in Zhaoyuan City, Shandong Province, establishing a foundational structure for joint investment and development of mining projects across the Tibet Autonomous Region.
Both entities, each duly incorporated and operational mining companies within China, have expressed mutual interest in acquiring mining assets in Tibet. ZHIHUI MINING brings deep-rooted local expertise in the region, including established government relations, resource connectivity, and early-stage project development channels, alongside a pipeline of prospective mining investments already under assessment. Conversely, Zhao Jin Nonferrous contributes mature capabilities in investment management, mine construction and operations, technical oversight, and substantial financial resources.
Under the agreement, the two parties will pursue a collaborative model where ZHIHUI MINING takes the lead on preliminary due diligence and commercial negotiations, followed by joint validation from Zhao Jin Nonferrous before establishing a unified acquisition platform to facilitate equity purchases. This structure is designed to pool strengths, distribute risks, and jointly capture returns from mining opportunities in the region.
The board believes this partnership provides a strategic avenue for ZHIHUI MINING to leverage its local advantages and project inventory, combined with Zhao Jin Nonferrous's operational proficiency and financial backing, creating a sustainable expansion channel for resource growth. By converting Tibet's abundant mineral wealth into a practical, actionable reserve pool, the collaboration is expected to expedite the group's project advancement in the autonomous region.
Directors have determined that the terms of this agreement are fair and reasonable, aligning with the best interests of both the company and its shareholders.
